Terms of Use

These Terms explain how Rhino Pay works, what you can expect from us, and what we need from you.

Rhino Pay is operated by Shakan Innovations (Registration 2018/624776/07). We are not a bank and we do not take deposits.

1. Who these Terms cover

These Terms apply when you use rhinopay.co.za, the vendor dashboard, payment pages, SMS flows, or related Rhino Pay tools (together, the “Platform”).

If you register as a seller (“Vendor”), you also appoint Rhino Pay as your agent to receive payment proceeds and help you get paid out. See Section 4.

Buyers who only pay a Vendor through PayShap follow their own bank’s rules. The sale stays between buyer and seller.

2. Using the Platform

  • Use Rhino Pay honestly and only for lawful goods and services.
  • Give accurate registration and profile information, and keep it up to date.
  • Do not try to bypass identity checks, payment limits, or security features.
  • Do not use the Platform for crypto trading, gambling, microlending, foreign exchange dealing, or other prohibited categories we publish.
  • You are responsible for keeping your phone, PIN, and OTP safe.
  • We may suspend or close accounts that abuse the system, break the law, or put buyers, sellers, or partners at risk.

3. Payments: we facilitate, we are not a bank

Rhino Pay helps Vendors display a QR code and track what buyers paid. Licensed payment partners process PayShap and related rails. Cash-out may use retail networks (such as Flash) or electronic transfers when available.

Your Vendor balance is not a bank deposit account. It reflects amounts we owe you as agent after confirmed partner notifications, subject to these Terms and any legal holds.

We credit your ledger only after a verified success notification from the payment partner. We do not credit speculative or unchecked payments.

4. Third-party payments, agency, and the laws that govern us

The operations of Shakan Innovations (trading as Rhino Pay) are recognised as a Third-Party Payment Provider (TPPP) / Beneficiary Service Provider by the South African Reserve Bank (Directive 1 of 2007) and therefore:

By registering, you appoint Rhino Pay as your agent to: (a) receive payment proceeds from buyers via licensed partners; (b) record your entitlement on Rhino Pay; and (c) arrange disbursement by cash-out, EFT, or other methods we make available, after identity checks.

These Terms are governed by the laws of the Republic of South Africa. Relevant frameworks include the National Payment System Act and related directives, the Financial Intelligence Centre Act (FICA), the Protection of Personal Information Act (POPIA), and consumer and cyber laws that apply to online services.

We may update operational controls to meet sponsoring-bank, PASA, FIC, or partner requirements. Material changes will be communicated using the contact details on your profile.

5. KYC, AML, and keeping the Platform safe

Before you can withdraw or cash out, you must complete identity verification (KYC). That usually means an ID or passport check and a selfie, using partners such as VerifyNow. You may accept payments while verification is pending; withdrawals stay locked until approved.

We apply a risk-based approach aligned with FICA and our Risk Management and Compliance Programme (RMCP). We look at factors such as who you are, what you sell, where you operate, ticket sizes, how often you withdraw, and how money leaves the Platform.

We run regular and frequent checks. That can include sanctions and politically exposed person screening, transaction monitoring, reconciliations, and reviews when something looks unusual for your stall profile.

We may freeze withdrawals, ask for more information, lower limits, or exit a relationship where risk or legal duties require it. We will not tip you off in a way that breaks anti-money-laundering law if a report to the Financial Intelligence Centre is made or being considered.

Pilot limits (for example ticket and withdrawal caps, or corridor geography) exist to protect everyone during early operations and may change as we scale.

6. Your information (POPIA)

  • We process personal information to run Rhino Pay: registration, identity checks, payments, SMS alerts, cash-out, support, security, and legal compliance.
  • We may share information with regulated partners (payment, IDV, SMS, cash-out) and with banks or authorities when required for TPPP, FICA, fraud prevention, or lawful requests.
  • We keep payment and compliance records for at least five years where payment and FICA rules require it, even if you ask to delete your account.
  • You can request access, correction, or account deletion via support, subject to legal retention. Marketing messages can be opted out in settings or by emailing support.
  • ID images and sensitive documents are stored privately, not as public links.

7. Our RMCP and ongoing compliance

Rhino Pay maintains a Risk Management and Compliance Programme describing how we govern AML/CFT controls, customer due diligence, sanctions screening, monitoring, reporting, training, and record-keeping.

We intend to register with the Financial Intelligence Centre (goAML) under the Schedule 1 category that applies to our activities once counsel confirms classification (working view: money or value transfer / TPPP-style activity).

Staff and field agents who work on Rhino Pay are expected to follow the RMCP, including escalating suspicious activity without tipping off customers.

8. Fees, pilot features, and changes

  • During the current pilot we do not charge Vendors a platform fee to accept PayShap via Rhino Pay. Partners or banks may still apply their own charges on rails they control.
  • Features, partners, limits, and cash-out methods may change. We will communicate material changes.
  • We may introduce optional paid features later. We will explain any new fees before they apply.

9. Availability and partners

We work to keep Rhino Pay available, but outages, maintenance, and partner downtime (banks, PayShap, SMS, retail tills) can affect pay-ins, checkout or cash-out. Where we can, we give advance notice of planned downtime (this is for both Rhino Pay and our partners).

10. Liability

The Platform is provided as available during the pilot. To the fullest extent permitted by South African law, Rhino Pay is not liable for indirect loss, lost profits, or loss caused by partner outages, buyer mistakes, or Vendor misuse.

Nothing in these Terms excludes liability that cannot lawfully be excluded (including for gross negligence or fraud where the law says so).

Buyers should check the seller name, stall, and QR before approving PayShap. Vendors should not share PINs or cash-out codes.

11. Ending the relationship

You may stop using Rhino Pay and request account deletion as described in the app or by contacting support.

We may suspend or terminate access if you break these Terms, fail KYC, pose unacceptable ML/TF risk, or if required by a bank, regulator, or law.

On exit we will arrange payment of any verified balance due after compliance checks, subject to legal holds and partner processing times.
